  • MadXpert is not liable for delays caused by factors outside our control.

3. Intellectual Property

3.1 Ownership Rights

Upon full payment, final deliverables (software, designs, code, documents) become the client’s property unless otherwise agreed.

MadXpert retains rights to:

  • Proprietary tools
  • Pre-existing code
  • Frameworks and libraries used during development

3.2 Portfolio Usage

We may display completed work in our portfolio unless the client requests confidentiality in writing.

4. Confidentiality

We treat all client information, credentials, and project data as strictly confidential.
Both parties must take reasonable measures to protect sensitive information and prevent unauthorized access.

5. Third-Party Tools & Integrations

Some projects may require third-party tools, APIs, or software.
We are not responsible for:

  • Failures or downtime from third-party providers
  • Changes in third-party pricing or policies
  • Security vulnerabilities originating from external platforms
  • Clients must comply with the terms of all third-party services integrated into the project.

6. Limitation of Liability

To the maximum extent permitted by law, MadXpert will not be liable for:

  • Loss of data
  • Business interruptions
  • Indirect, incidental, or consequential damages
  • Third-party system failures
  • Errors caused by inaccurate or incomplete client inputs
  • Our total liability is limited to the amount paid for the specific service.

7. Warranties & Disclaimers

  • Services are provided on an “as-is” and “as-available” basis.
  • We do not guarantee uninterrupted or error-free operation.
  • We do not provide warranties beyond what is explicitly agreed in writing.

8. Termination

We may suspend or terminate service if:

  • The client violates these Terms
  • Payments are delayed beyond acceptable limits
  • Misuse, fraud, or harmful activity is detected
  • Clients may terminate a project but will be billed for completed work and non-refundable resources.

9. Refund Policy

Refunds follow our official Refund & Cancellation Policy (can be written separately if needed).
Generally:

  • Initial payments and deposits are non-refundable
  • Refunds may be issued only in situations where no significant work has been delivered

10. Modifications to Terms

MadXpert may update these Terms at any time.
Updated Terms will be posted with a revised “Last Updated” date.
Continued use of our website or services indicates acceptance of the updated Terms.

11. Governing Law
